Gold Road LOI disclosure

Mojave Gold Mining Corporation and Gold Road Inc. or its designated affiliate have signed a non-binding Letter of Intent dated May 19, 2026 relating to a proposed strategic relationship involving potential toll processing of Telegraph Mine ore and a staged equity investment by Gold Road into Mojave.

The contemplated toll processing arrangement and equity investment remain subject to due diligence, ore compatibility review, permit compatibility review, definitive agreements, required approvals, financial assurance approvals, operating readiness, and board approvals by both parties.

No binding obligation to complete the toll processing arrangement, equity investment, ore processing, financing, or related transaction exists unless and until definitive agreements are approved and executed by the applicable parties.
